Expected Behavior LLC, (referred to hereinafter as “Expected Behavior”, “we”, “us” or “our”) maker of certain software products (namely “DocRaptor” and "Burndown”), is committed to protecting the privacy of those individuals who visit our websites and register to use our products and services. This policy describes our privacy practices and how we use and collect the personal information that you share with us when browsing our websites and/or registering for our products.
Information Gathering and Usage
We collect the e-mail addresses of those who communicate with us via e-mail, aggregate information on what pages consumers access or visit, and information volunteered by the consumer (such as survey information and/or site registrations). The information we collect is used to improve the content of our Web pages and the quality of our service. We seek to provide you with choices in how and when your personal information is shared, and as such, we will not share or sell your personal information to other organizations for commercial purposes, except to provide products or services you’ve requested, or when we have your permission. This information can be modified under the Account Settings menu within all of our products. Any of the accounts you create with us may be deleted by contacting us at support@expectedbehavior.com.
Changes To Your Personal Data
If you are a user of our websites or products, we retain your information for as long as your account is active or as needed to provide you services, subject to our storage requirements. We will retain and use your information as necessary to offer services, comply with our legal obligations, resolve disputes, and enforce our agreements. If you are a user of our products and would like an opportunity to update, correct or delete, your personal data, please contact us at . You hereby grant to Expected Behavior permission to identify you as a customer, to use your identity in connection with proposals to prospective customers, to hyperlink to your website's home page, to display your logo on our websites, and to otherwise refer to you in print or electronic form for marketing or reference purposes.
EU-U.S. Data Privacy Framework, the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. Data Privacy Framework Compliance
Expected Behavior complies with the EU-U.S. Data Privacy Framework (EU-U.S. DPF), the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. Data Privacy Framework (Swiss-U.S. DPF) as set forth by the U.S. Department of Commerce. Expected Behavior has certified to the U.S. Department of Commerce that it adheres to the EU-U.S. Data Privacy Framework Principles (EU-U.S. DPF Principles) with regard to the processing of personal data received from the European Union in reliance on the EU-U.S. DPF and from the United Kingdom (and Gibraltar) in reliance on the UK Extension to the EU-U.S. DPF. Expected Behavior has certified to the U.S. Department of Commerce that it adheres to the Swiss-U.S. Data Privacy Framework Principles (Swiss-U.S. DPF Principles) with regard to the processing of personal data received from Switzerland in reliance on the Swiss-U.S. DPF. If there is any conflict between the terms in this privacy policy and the EU-U.S. DPF Principles and/or the Swiss-U.S. DPF Principles, the Principles shall govern. In compliance with the EU-U.S. Data Privacy Framework (EU-U.S. DPF), the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. Data Privacy Framework (Swiss-U.S. DPF), Expected Behavior commits to resolve complaints about our collection or use of your personal information transferred to the U.S. pursuant to the EU-U.S. DPF, the UK extension to the EU-U.S. DPF, and the Swiss-U.S. DPF. EU, UK, and Swiss individuals with inquiries or complaints should first contact Expected Behavior at: support@expectedbehavior.com.
Expected Behavior has further committed to refer unresolved DPF Principles-related complaints to a U.S.-based independent dispute resolution mechanism, BBB NATIONAL PROGRAMS. If you do not receive timely acknowledgment of your complaint, or if your complaint is not satisfactorily addressed, please visit https://www.bbbprograms.org/dpf-complaints for more information and to file a complaint. This service is provided free of charge to you.

Data Storage
Expected Behavior uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run our products. Although Expected Behavior owns the code, databases, and all rights to our applications, you retain all rights to your data. In cases of onward transfer to third parties of data from residents of the EU or Switzerland received pursuant to the EU-U.S. DPF, the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. DPF, Expected Behavior is potentially liable.
DocRaptor lets you set how long we retain your data or any hosted documents. For users of the DocRaptor product, when you send document data to DocRaptor, we retain a copy of your input and output documents only until you have downloaded the document and the time you specify for data retention has expired. DocRaptor does NOT retain your original input or the generated document past the data retention period unless you explicitly use DocRaptor's document debugging or document hosting services. Regulatory Body
Expected Behavior is subject to the investigatory and enforcement powers of the U.S. Federal Trade Commission.
Changes To The Privacy Policy
Expected Behavior may periodically update this policy. We will notify you about significant changes in the way we treat personal information by sending a notice to the primary email address specified in your product account or by placing a prominent notice on our site.

Expected Behavior has certified that it adheres to the EU-US and Swiss-US Privacy Shield Principles of Notice, Choice, Accountability for Onward Transfer, Security, Data Integrity and Purpose Limitation, Access, and Recourse, Enforcement and Liability. If there is any conflict between the policies in this privacy policy and the Privacy Shield Principles, the Privacy Shield Principles shall govern. By using the DocRaptor.com web site and its document creation functionality (the “Service”), or any services of Expected Behavior LLC (“Expected Behavior”), you are agreeing to be bound by the following terms and conditions (“Terms of Service”). IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY, ITS AFFILIATES AND ALL USERS WHO ACCESS OUR SERVICES THROUGH YOUR ACCOUNT TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERMS “YOU” OR “YOUR” SHALL REFER TO SUCH ENTITY, ITS AFFILIATES AND USERS ASSOCIATED WITH IT. A. Account Terms
- You must be 13 years or older to use this Service.

- You are responsible for all activity that occurs under your account.
- One person or legal entity may not maintain more than one free account.
- In the event you use any document hosting functionality offered as a part of the Service, Expected Behavior will have no liability
- You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright or trademark laws).
B. API Terms
Customers may access their DocRaptor account data via an API (Application Program Interface). Any use of the API, including use of the API through a third-party product that accesses DocRaptor, is bound by these Terms of Service plus the following specific terms:
- You expressly understand and agree that Expected Behavior shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Expected Behavior has been advised of the possibility of such damages), resulting from your use of the API or third-party products that access data via the API.
- Abuse or excessively frequent requests to DocRaptor via the API may result in the temporary or permanent suspension of your account’s access to the API. Expected Behavior, in its sole discretion, will determine abuse or excessive usage of the API.
C. Payment, Refunds, Upgrading and Downgrading Terms
- All paid plans must enter a valid credit card. Free accounts are not required to provide a credit card number.
- An upgrade from the free plan to any paying plan will result in you being billed.
- The Service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.
- All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes.
- For any upgrade or downgrade in plan level, your credit card that you provided will automatically be charged the new rate on your next billing cycle.
- Downgrading your Service may cause the loss of Content, features, or capacity of your Account. Expected Behavior shall have no liability for such loss.
D. Cancellation and Termination
- You are solely responsible for properly canceling your account. An email or phone request to cancel your account is not considered cancellation. You can cancel your account at any time by clicking on the Account link in the global navigation bar at the top of the screen. The Account screen provides a simple no questions asked cancellation link.
- If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again.
- Expected Behavior, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other Expected Behavior service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account. Expected Behavior reserves the right to refuse access to the Service to anyone for any reason at any time.
E. Modifications to the Service and Prices
- Expected Behavior reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
- Any free use of the Service is intended to be temporary in nature, and Expected Behavior may, at its sole discretion, limit your access to any free portions of the Service at any time and for any reason.
- Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from Expected Behavior. Such notice may be provided at any time by posting the changes to the DocRaptor Site (https://docraptor.com/ or the Service itself.)
- Expected Behavior shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

- We claim no intellectual property rights over the material you provide to the Service. Your profile and materials uploaded remain yours.

- Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Expected Behavior customer, employee, member, or officer will result in immediate account termination.
- You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
- You must not upload, post, or transmit unsolicited email, SMSs, or “spam” messages.

- If your bandwidth usage significantly exceeds the average bandwidth usage (as determined solely by Expected Behavior) of other DocRaptor customers, we reserve the right to immediately disable or throttle your account until you can reduce your bandwidth consumption.
- Expected Behavior does not warrant that (i) the Service will meet your specific requirements, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, and (v) any errors in the Service will be corrected.
- You expressly understand and agree that Expected Behavior shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Expected Behavior has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Service; (v) or any other matter relating to the Service.

A. Account Terms
- You must be 13 years or older to use this Service.
- You must be a human. Accounts registered by “bots” or other automated methods are not permitted.

- You are responsible for maintaining the security of your account and password. Expected Behavior cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
- You are responsible for all activity that occurs under your account.
- One person or legal entity may not maintain more than one free account.

Customers may access their DocRaptor account data via an API (Application Program Interface). Any use of the API, including use of the API through a third-party product that accesses DocRaptor, is bound by these Terms of Service plus the following specific terms:
- You expressly understand and agree that Expected Behavior shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Expected Behavior has been advised of the possibility of such damages), resulting from your use of the API or third-party products that access data via the API.
- Abuse or excessively frequent requests to DocRaptor via the API may result in the temporary or permanent suspension of your account’s access to the API. Expected Behavior, in its sole discretion, will determine abuse or excessive usage of the API.
C. Payment, Refunds, Upgrading and Downgrading Terms
- All paid plans must enter a valid credit card. Free accounts are not required to provide a credit card number.
- An upgrade from the free plan to any paying plan will result in you being billed.
- The Service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.
- All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes.
- For any upgrade or downgrade in plan level, your credit card that you provided will automatically be charged the new rate on your next billing cycle.
- Downgrading your Service may cause the loss of Content, features, or capacity of your Account. Expected Behavior shall have no liability for such loss.
D. Cancellation and Termination
- You are solely responsible for properly canceling your account. An email or phone request to cancel your account is not considered cancellation. You can cancel your account at any time by clicking on the Account link in the global navigation bar at the top of the screen. The Account screen provides a simple no questions asked cancellation link.
- If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again.
- Expected Behavior, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other Expected Behavior service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account. Expected Behavior reserves the right to refuse access to the Service to anyone for any reason at any time.
E. Modifications to the Service and Prices
- Expected Behavior reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
- Any free use of the Service is intended to be temporary in nature, and Expected Behavior may, at its sole discretion, limit your access to any free portions of the Service at any time and for any reason.
- Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from Expected Behavior. Such notice may be provided at any time by posting the changes to the DocRaptor Site (https://docraptor.com/ or the Service itself.)
- Expected Behavior shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
F. Copyright and Content Ownership
- We claim no intellectual property rights over the material you provide to the Service. Your profile and materials uploaded remain yours.
- You shall defend Expected Behavior against any claim, demand, suit or proceeding made or brought against Expected Behavior by a third party alleging that Your Content, or Your use of the Service in violation of this Agreement, infringes or misappropriates the intellectual property rights of a third party or violates applicable law, and shall indemnify Expected Behavior for any damages finally awarded against, and for reasonable attorney’s fees incurred by, Expected Behavior in connection with any such claim, demand, suit or proceeding; provided, that Expected Behavior (a) promptly gives You written notice of the claim, demand, suit or proceeding; (b) gives You sole control of the defense and settlement of the claim, demand, suit or proceeding (provided that You may not settle any claim, demand, suit or proceeding unless the settlement unconditionally releases Expected Behavior of all liability); and (c) provides to You all reasonable assistance, at Your expense.

Expected Behavior has certified to the U.S. Department of Commerce that it adheres to the Swiss-U.S. Data Privacy Framework Principles (Swiss-U.S. DPF Principles) with regard to the processing of personal data received from Switzerland in reliance on the Swiss-U.S. DPF. Although Expected Behavior owns the code, databases, and all rights to our applications, you retain all rights to your data. In cases of onward transfer to third parties of data from residents of the EU, UK, or Switzerland received pursuant to the EU-U.S. DPF, the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. DPF, Expected Behavior is potentially liable.
DocRaptor lets you set how long we retain your data or any hosted documents. For users of the DocRaptor product, when you send document data to DocRaptor, we retain a copy of your input and output documents only until you have downloaded the document and the time you specify for data retention has expired. DocRaptor does NOT retain your original input or the generated document past the data retention period unless you explicitly use DocRaptor's document debugging or document hosting services. Regulatory Body
Expected Behavior is subject to the investigatory and enforcement powers of the U.S. Federal Trade Commission.

THIS SERVICE AGREEMENT ("AGREEMENT") GOVERNS YOUR PURCHASE OF SERVICES (AS DEFINED BELOW) FROM EXPECTED BEHAVIOR, LLC ("EXPECTED BEHAVIOR"). THIS AGREEMENT WILL ALSO GOVERN YOUR ONGOING USE OF THOSE SERVICES. BY CLICKING ON THE "ACCEPT" BUTTON, YOU ARE CONSENTING WITHOUT CONDITION TO BE BOUND BY THIS AGREEMENT. YOUR CONTINUED USE OF ANY SERVICES SHALL ALSO CONSTITUTE ASSENT TO THE TERMS OF THIS AGREEMENT. "Services" means the services included in your Plan and hosted by Expected Behavior and provided to you under this agreement via the website projectburndown.com.
"Systems" means modems, servers, software, network and communications equipment, and ancillary services and hardware that are owned, controlled or procured by you.

Subject to all terms and conditions of this Agreement, Expected Behavior will use commercially reasonable efforts to provide the Services. Expected Behavior may provide the Services using third-party vendors or service providers. You agree to pay Expected Behavior the fees, in the amounts and at the times specified in your selected Plan.
2.2 Changes
Expected Behavior reserves the right to modify or discontinue any Services or Plan (in whole or in part) at any time.
2.3 Limitations
Expected Behavior will not be responsible or liable for any failure in the Services resulting from or attributable to (a) your Systems, (b) network, telecommunications or other service or equipment, (c) your, or third-parties' products, services, negligence, acts or omissions, (d) any force majeure or cause beyond Expected Behavior's reasonable control, (e) scheduled maintenance or (f) unauthorized access or breach by third parties.
2.4 Systems
You shall obtain and operate all Systems needed to use the Services, and provide all corresponding backup, recovery, and maintenance services. You shall ensure that all Systems are compatible with the Services.
3. PROPRIETARY RIGHTS
3.1 Data
As between the parties, you shall own all your Data. You hereby grant Expected Behavior a nonexclusive and royalty-free right and license to use, copy, perform, display, and distribute said Data and to prepare derivative works of Data solely for the purpose of providing the Services. You agree to indemnify and hold Expected Behavior harmless from all claims, damages, liabilities, losses, costs and expenses (including attorneys' fees) arising out of any use or disclosure of Data permitted hereunder. Although Expected Behavior does not claim ownership of Data, you represent and warrant that you have the right to grant the foregoing license to Expected Behavior.
3.2 No Implied License
Except for the limited rights and licenses expressly granted hereunder, no other license is granted to you, no other use is permitted and Expected Behavior (and its licensors) shall retain all right, title, and interest in and to the Services (including all intellectual property and proprietary rights embodied therein). You shall not take any action inconsistent with such rights.
3.3 Restrictions
Any reproduction, modification, creation of derivative works from or redistribution of the projectburndown.com website, and/or copying or reproducing the projectburndown.com website or any portion thereof to any other server or location for further reproduction or redistribution is prohibited without the express written consent of Expected Behavior. You may not decompile or disassemble, reverse engineer or otherwise attempt to discover any source code contained in the Service. Without limiting the foregoing, you agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any aspect of the Service.
3.4 Trademark
You shall not alter, obscure or remove any printed or on-screen trademark, copyright or other proprietary or legal notice.
4. PAYMENTS
4.1 Credit Card Information
In order to set up an account with Expected Behavior, you may be asked to provide Expected Behavior with accurate and complete billing information including legal name, address, telephone number, and a valid credit card. By submitting such credit card information, you give Expected Behavior permission to charge all fees incurred for using the Services to the designated credit card, including any recurring fees. Expected Behavior reserves the right to terminate this Agreement in accordance with Section 7 hereto if you do not provide a valid credit card for the payment of fees hereunder.
4.2 Payment Terms
The Services are billed in advance on a monthly basis and such monthly fees are non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.
4.3 Taxes
All payments are exclusive of federal, state, local and foreign taxes, duties, tariffs, levies, withholdings and similar assessments (including without limitation, sales taxes, use taxes and value added taxes), and you agree to bear and be responsible for the payment of all such charges, excluding taxes based upon Expected Behavior's net income. All amounts due hereunder shall be grossed-up for any withholding taxes imposed by any foreign government.
5. LIMITED WARRANTY AND DISCLAIMERS
5.1 Services
Expected Behavior warrants that it will provide the Services in a manner consistent with general industry standards reasonably applicable to the provision thereof. Notwithstanding the foregoing, Services may be temporarily unavailable, when deemed reasonably necessary or prudent by Expected Behavior to repair, maintain or upgrade the Services or for causes beyond Expected Behavior's reasonable control.
5.2 Disclaimers
EXCEPT AS SPECIFICALLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. EXPECTED BEHAVIOR DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THEIR OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE. TO THE FULLEST EXTENT PERMITTED BY LAW, EXPECTED BEHAVIOR HEREBY DISCLAIMS (FOR ITSELF AND ITS SUPPLIERS) ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, WITH RESPECT TO THE SERVICES INCLUDING, WITHOUT LIMITATION, ALL IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, INTEGRATION, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE AND ALL WARRANTIES ARISING FROM ANY COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE.
6. LIMITATION OF LIABILITY
EXCEPT TO THE EXTENT THAT ANY EXCLUSION OR LIMITATION OF ITS LIABILITY IS VOID, PROHIBITED OR UNENFORCEABLE BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY (OR ITS SUPPLIERS) BE LIABLE CONCERNING THE SUBJECT MATTER OF THIS AGREEMENT, REGARDLESS OF THE FORM OF ANY CLAIM OR ACTION (WHETHER IN CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE), FOR ANY (A) MATTER BEYOND ITS REASONABLE CONTROL (INCLUDING ANY ERROR OR DAMAGE ATTRIBUTABLE TO ANY NETWORK OR SYSTEM), (B) LOSS OR INACCURACY OF DATA, LOSS OR INTERRUPTION OF USE, OR COST OF PROCURING SUBSTITUTE TECHNOLOGY, GOODS or SERVICES, (C) INDIRECT, PUNITIVE, INCIDENTAL, RELIANCE, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES INCLUDING, BUT NOT LIMITED TO, LOSS OF BUSINESS, REVENUES, PROFITS OR GOODWILL, OR (D) ANY DIRECT DAMAGES, IN THE AGGREGATE, IN EXCESS OF THE AMOUNTS PAID TO EXPECTED BEHAVIOR HEREUNDER WITH RESPECT TO THE SERVICES THAT GAVE RISE TO THE CLAIM DURING THE TWELVE-MONTH PERIOD PRIOR TO THE DATE THE CAUSE OF ACTION AROSE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS ARE INDEPENDENT FROM ALL OTHER PROVISIONS OF THIS AGREEMENT AND SHALL APPLY NOTWITHSTANDING THE FAILURE OF ANY REMEDY PROVIDED HEREIN.
7. TERM AND TERMINATION
7.1 Term
This Agreement shall commence on the date that this Agreement is accepted and shall continue in effect for the initial term specified in the Plan. Unless the Plan is canceled by the user prior to the next term commencing, the Agreement will be extended automatically for additional terms of 1 month at the end of the initial term and each renewal term. The User is responsible for properly canceling the Plan.
7.2 Termination
This Agreement may be earlier terminated by either party (a) if the other party materially breaches a provision of this Agreement and fails to cure such breach within 10 days (5 days in the case of non-payment) after receiving written notice of such breach from the nonbreaching party, (b) upon 30 days written notice to the other party for any reason, or (c) immediately upon written notice, if the other party makes any assignment for the benefit of creditors, or a receiver, trustee in bankruptcy or similar officer is appointed to take charge of any or all of the other party's property, or the other party seeks protection under any bankruptcy, receivership, trust deed, creditors arrangement, composition or comparable proceeding or such a proceeding is instituted against the other party and is not dismissed within 90 days, or the other party becomes insolvent or, without a successor, dissolves, liquidates or otherwise fails to operate in the ordinary course.
7.3 Effects of Termination
Upon any expiration or termination of this Agreement, all rights, obligations and licenses of the parties shall cease, except that (a) all obligations that accrued prior to the effective date of termination (including without limitation, all payment obligations) shall survive, (b) Expected Behavior may, but shall not be obligated to, delete Data and (c) the provisions of Sections 3 (Proprietary Rights), 4 (Payments), 5.2 (Disclaimers), 6 (Limitation of Liability), 8 (General Provisions)and this Section 7.3 shall survive.
8. GENERAL PROVISIONS
8.1 Entire Agreement
This Agreement (together with the applicable Plan(s)) constitutes the entire agreement, and supersedes all prior negotiations, understandings or agreements (oral or written), between the parties about the subject matter of this Agreement. In the event of any conflict or inconsistency between the Services Agreement and the Plan, the terms and conditions in the Plan will prevail and be controlling. No waiver, consent or, except as expressly provided herein, modification of this Agreement shall bind either party unless in writing and signed by the party against which enforcement is sought. The failure of either party to enforce its rights under this Agreement at any time for any period will not be construed as a waiver of such rights. If any provision of this Agreement is determined to be illegal or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable. If this Agreement is required to be registered with any governmental authority, you shall cause such registration to be made and shall bear any expense or tax payable in respect thereof.
8.2 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Indiana, USA, without regard to its conflicts of law provisions. Neither the United Nations Convention on Contracts for the International Sale of Goods nor any enactment of the Uniform Computer Information Transactions Act shall apply to this Agreement. The sole jurisdiction and venue for actions related to this Agreement will be the state or federal courts located in Indiana having jurisdiction over Expected Behavior's offices, and both parties consent to the jurisdiction of such courts with respect to any such action. In any action or proceeding to enforce or interpret this Agreement, the prevailing party will be entitled to recover from the other party its costs and expenses (including reasonable attorneys' fees) incurred in connection with such action or proceeding and enforcing any judgment or order obtained.
8.3 Remedies
Except as specifically provided otherwise, each right and remedy in this Agreement is in addition to any other right or remedy, at law or in equity. Each party agrees that, in the event of any breach or threatened breach of Section 3, the non-breaching party will suffer irreparable damage for which it will have no adequate remedy at law. Accordingly, the non-breaching party shall be entitled to injunctive and other equitable remedies to prevent or restrain such breach or threatened breach, without the necessity of posting any bond.
8.4 Notices
Any notice or communication hereunder shall be in writing and either personally delivered or sent via confirmed email, recognized express delivery courier or certified or registered mail, prepaid and return receipt requested, addressed to the other party at its address specified in the Plan, or at such other address designated in a subsequent notice. All notices shall be in English, effective upon receipt.
8.5 Assignment
This Agreement and the rights and obligations hereunder may not be assigned, in whole or in part, by either party without the other party's written consent (which shall not be unreasonably withheld). However, without consent, either party may assign this Agreement to any successor to all or substantially all of its business which concerns this Agreement (whether by sale of assets or equity, merger, consolidation or otherwise). This Agreement shall be binding upon, and inure to the benefit of, the successors, representatives and permitted assigns of the parties hereto.
8.6 Independent Contractors
The parties shall be independent contractors under this Agreement, and nothing herein will constitute either party as the employer, employee, agent or representative of the other party, or both parties as joint venturers or partners for any purpose.
